The Services are operated by Blockcat Pte. Ltd., a company incorporated in Singapore (“MemeMax”, “we”, “us”, or “our”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services. *** ### IMPORTANT NOTICE THE SERVICES ARE NON-CUSTODIAL AND PROVIDED “AS IS.” THESE TERMS CONTAIN A MANDATORY ARBITRATION CLAUSE AND CLASS ACTION WAIVER. BY USING THE SERVICES, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS OR JURY TRIALS. *** ### 1. Eligibility and Restricted Jurisdictions #### 1.1 Eligibility You must: * Be at least 18 years old * Have full legal capacity to enter into these Terms * Use the Services only for lawful purposes #### 1.2 Restricted Territories The Services are NOT available to any person or entity that resides in, is located in, is incorporated in, or has a registered office in: Belarus, Cuba, Iran, North Korea, Russia, Ukraine, the United Kingdom, the United States of America, Canada, the European Union, Australia, or any country or region subject to comprehensive economic sanctions imposed by the United States or the United Kingdom (collectively, “Restricted Territories”). You may not use a VPN or similar technology to circumvent these restrictions. By using the Services, you represent and warrant that you are not a resident of, located in, or accessing the Services from a Restricted Territory. *** ### 2. Nature of the Services (Non-Custodial) MemeMax is a software platform that provides access to decentralized smart contracts and blockchain-based protocols. MemeMax does not: * Custody user funds * Act as a broker, exchange, clearinghouse, or intermediary * Execute, settle, or clear trades on behalf of users All transactions occur peer-to-peer via smart contracts deployed on supported blockchains. You retain sole control of your digital assets and private keys at all times. We cannot recover assets, reverse transactions, or access your wallet. *** ### 3. User Responsibilities You are solely responsible for: * Securing your private keys and wallet credentials * Verifying transaction details before execution * All trading decisions and outcomes * Compliance with applicable laws and tax obligations All blockchain transactions are irreversible. *** ### 4. Prohibited Use You agree not to engage in any of the following activities: * Violating any applicable law or regulation * Accessing the Services from a Restricted Territory * Market manipulation, wash trading, spoofing, or front-running * Exploiting bugs, vulnerabilities, or incentive mechanisms * Using unauthorized automation, bots, scraping tools, or scripts * Abusing or overloading APIs, SDKs, or infrastructure * Circumventing security or access controls * Providing false or misleading information * Engaging in fraudulent, deceptive, or harmful conduct * Interfering with the availability or integrity of the Services We reserve the right to restrict, suspend, or terminate access at our sole discretion. *** ### 5. Tokens, Rewards, and Incentives MemeMax may offer tokens, rewards, incentives, airdrops, or promotional programs. You acknowledge that: * Participation is not guaranteed * Eligibility is determined at MemeMax’s sole discretion * Rewards may be modified, reduced, delayed, or canceled at any time * Abuse or manipulation may result in disqualification * You are responsible for any applicable taxes No program creates any expectation of profit or entitlement. *** ### 6. APIs and SDKs Access to APIs or SDKs is provided on an as-available basis and may be modified, limited, or discontinued at any time. You may not: * Use APIs in a manner that degrades performance or security * Circumvent rate limits or safeguards * Deploy malicious or abusive automation MemeMax is not responsible for losses arising from API or SDK usage. *** ### 7. Intellectual Property All content, trademarks, software, and materials associated with the Services are owned by or licensed to MemeMax. You are granted a limited, revocable, non-transferable license to access and use the Services in accordance with these Terms. *** ### 8. Risk Disclosure You acknowledge and accept the risks associated with: * Digital asset volatility * Smart contract vulnerabilities * Liquidation mechanisms * Regulatory uncertainty * Blockchain congestion or failure * Total loss of funds The Services do not provide financial, legal, or tax advice. *** ### 9. Disclaimers THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMEMAX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. *** ### 10. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW: IN NO EVENT SHALL MEMEMAX OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED USD $100. This limitation applies regardless of the theory of liability. *** ### 11. Indemnification You agree to indemnify and hold harmless MemeMax and its affiliates from any claims, losses, or damages arising from: * Your use of the Services * Your violation of these Terms * Your violation of applicable laws * Your misuse of digital assets or smart contracts *** ### 12. Arbitration and Class Action Waiver #### 12.1 Mandatory Arbitration Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) under its rules in effect at the time of the dispute. #### 12.2 Class Action Waiver You agree that disputes will be resolved only on an individual basis.
